Terms Of Use
Effective 27 October 2026 · Last Updated 2 November 2026
In Short
- Telling us about your project is free and doesn't commit you, or us, to anything.
- You keep the rights to your idea. We use what you share only to understand it and respond to you.
- Any plan, range or estimate on the website is preliminary. Only a signed Project Agreement sets a price.
- Businesses often have similar ideas. We may build similar things independently, but never by using your confidential materials.
- We usually reply within 24 to 48 hours after reviewing your answers. First calls are free and last 30 minutes.
These Terms of Use (“Terms”) govern your access to and use of www.rlautomations.com, Blueprint (our project discovery questionnaire), your private project page, and any other online feature that links to these Terms (together, the “Website”).
The Website is operated by RLAutomations, a business operated by Ryan Llonora, trading as RLAutomations (“RLAutomations,” “we,” “us” or “our”). By using the Website or submitting information through it, you agree to these Terms. If you use it on behalf of an organization, you confirm that you are authorized to act for that organization in your dealings with us. If you don't agree, please don't use the Website's interactive features.
1. What The Website Provides
The Website introduces our services and helps you describe a business problem, share a product idea, request a conversation, and receive a preliminary project plan. Its content and tools are for general information and early project discovery.
Submitting an inquiry does not require you to hire us, require us to accept a project, or create a development contract. A paid engagement begins only when both parties sign a separate written proposal, statement of work or other contract (a “Project Agreement”). That agreement governs the services it covers and takes priority over these Terms if they conflict.
2. Who May Use The Website
You must be at least 18 and legally able to agree to these Terms. The Website is meant for adults and authorized business representatives, and is not directed to children.
You are responsible for making sure the information you submit is reasonably accurate and that you have the right to share it. You may describe an idea in your own words, in English, Tagalog or Taglish, even if you don't know what technology it needs.
3. Project Ideas And Materials You Submit
You may submit descriptions, answers, sketches, screenshots, documents or other material through the Website (“Your Materials”).
You keep the rights you have in Your Materials. You give us a limited, non-exclusive permission to receive, store, copy, review and analyze Your Materials (including with the AI providers named in our Privacy Policy) only as reasonably needed to respond to you, assess the proposed project, prepare the discovery materials you ask for, run the Website, and comply with the law. This permission does not transfer ownership of anything and doesn't allow us to publish Your Materials. It ends when you ask us to delete them, except for what the law requires us to keep.
You confirm that you have the rights and permissions needed to share Your Materials, and that our review of them won't violate anyone else's rights or a confidentiality duty you owe to someone else.
Please don't submit passwords, payment card details, government ID numbers, real patient, customer or employee records, or other highly sensitive information in an initial inquiry. Contact us first if those details are necessary to discuss your project.
How We Keep It Confidential
- We treat Your Materials as confidential and use them only for the purposes above.
- Only the people working on your inquiry, and the service providers that run the Website for us, can access them.
- AI providers never receive your name, business name or contact details.
- We won't publish Your Materials, use them in marketing or a case study, or name you as a prospect or client without your separate written permission.
- We disclose them only if the law or a lawful order requires it, and we'll tell you first where we're allowed to.
No Automatic Non-Disclosure Agreement
An initial submission does not create a signed non-disclosure agreement (NDA), or any partnership, agency or fiduciary relationship, although our commitments in this section still apply. If your idea depends on something truly secret, such as an unpatented invention, a formula or a unique process, describe it in general terms and email ryanllonora@rlautomations.com for a mutual NDA before sharing the details. We're happy to sign a reasonable one.
What The Law Does And Doesn't Protect
In the Philippines, as in most countries, an idea or concept on its own generally isn't owned by anyone. Copyright protects how something is expressed (text, designs, code), not the underlying idea. Inventions, utility models, industrial designs and trademarks are protected mainly by registration with the Intellectual Property Office of the Philippines (IPOPHL), and disclosing an invention before filing can affect whether it can be patented. Talk to an IP lawyer before sharing an invention widely. This paragraph is general information, not legal advice.
Similar Ideas And Independent Development
Businesses in the same industry often face similar problems and reasonably arrive at similar features, workflows, screen layouts, data structures or technical approaches. A project idea can be tailored to one organization without being exclusive to it.
RLAutomations may already have developed, may be developing, or may later develop a similar idea, product, system, design, architecture or workflow, for itself or for another client. Receiving your submission doesn't give you priority over that work or require us to stop, change or disclose it. Similarity by itself does not show that either party copied the other.
This does not allow us to copy your protected code, artwork, documents or other original expression; to misuse information protected by a confidentiality obligation or by law; or to disclose one client's confidential information to another. It also doesn't limit any valid patent or other enforceable intellectual property right. Work we develop independently, from public information, from our existing materials, or from another client's own requirements may be used for other projects, subject to those rights and obligations.
Receiving an idea doesn't mean we have checked whether it is original, patentable or free of other people's rights. If an element of your idea is covered by a patent, a pending application, a license restriction or a confidentiality obligation, tell us before detailed discovery so it can be addressed in the Project Agreement or an NDA. You don't need to share confidential patent-application details through the Website.
4. Discovery Outputs, Estimates And Proposals
- Any questionnaire result, summary, suggested feature list, project outline, timeline, typical price range or planning range shown on the Website is preliminary. It is based on limited information and may change once we discuss your requirements, integrations, security, content, design and other needs.
- A range or estimate on the Website is not a quote, an offer to perform work, or a commitment by either of us. The budget and timeline you enter help us plan; they don't bind you or us.
- A price, scope, schedule, deliverable or payment obligation becomes binding only when it is included in a Project Agreement accepted by both parties. Proposals are valid for the period they state.
- If the scope, timeline or assumptions change after signing, price and schedule may change through a written change request agreed by both of us.
- If your project needs more exploration after the free call, we may offer a paid discovery. Its fee, deliverables and timing are confirmed in writing before you pay, and the fee is credited to your project if you sign a Project Agreement within the period stated in that offer.
Fees, cancellations and refunds for paid work are explained in our Refund & Cancellation Policy, which applies when a Project Agreement includes it.
5. Response Times And Discovery Calls
We aim to reply within 24 to 48 hours after reviewing your initial answers, usually with a few questions to clarify or confirm details. Weekends, holidays or a high volume of inquiries can lengthen this. Our first discovery call is free, lasts 30 minutes, and depends on our availability and on the complexity of your project. We may suggest a different format, or a longer paid session, for complex projects. We may also decline or reschedule a call, and we'll tell you if we do.
6. AI-Assisted Features
Blueprint uses AI models to organize your answers, suggest follow-up questions, prepare a preliminary project outline, and draft meeting minutes from our notes, with a second, independent AI review. Such output can be incomplete, inaccurate or unsuited to your situation.
A member of our team reviews AI-assisted output before we present it to you as our advice, and follow-up questions are sent to you only after our review. Even so, treat any outline as a working draft to discuss with us. It is not a final technical specification, a security assessment, legal advice, or a commitment to build a particular product. Please tell us what it gets wrong. Our Privacy Policy, section 6 explains what the AI providers receive.
7. Acceptable Use
Please use the Website lawfully and without interfering with others. You must not:
- submit unlawful, fraudulent, defamatory, infringing or malicious material;
- upload malware or try to compromise the Website or connected systems;
- try to access another person's project page, submission or information, or our admin area;
- get around security controls, or test for vulnerabilities without our written permission;
- overload, disrupt or impair the Website;
- scrape substantial Website content or personal information with automated tools without our written permission;
- copy our questionnaire or analysis to build a competing service;
- misrepresent your identity, authority, affiliation or project; or
- send automated, bulk or fake submissions, spam, or solicitations unrelated to a genuine inquiry.
We may reject or remove a submission, restrict access, or take other reasonable action to deal with misuse, security risks or legal obligations.
8. Your Private Project Page
After you submit, we send you a link to a private project page where you can answer our questions, upload files, book a call and review a proposal. There is no password: anyone with the link can open the page. Keep it to yourself and the people you work with, and tell us at once if it has been shared by mistake so we can disable it. You are responsible for activity through your link to the extent the law allows.
9. Intellectual Property And Project Deliverables
The Website's text, layout, graphics, software and logos, the Blueprint and RLAutomations names, and our questionnaire, analysis methods, templates, rate cards, planning ranges and proposals belong to RLAutomations or its licensors and are protected by intellectual property laws. You may view and use the Website to evaluate our services. You may not reproduce, sell, redistribute or create a competing copy of substantial Website content without permission, except where the law allows it.
- Your blueprint (the summary, requirements and open questions about your project) is yours to use for your own project, including sharing it with your team or other providers.
- Our proposals and estimates (pricing, approach, schedules and terms) are shared with you in confidence so you can decide. Please don't publish them or pass them on, except to your own advisers who keep them confidential.
A general concept, business requirement, procedure, workflow, system or method is not the exclusive property of either party just because one of us described it during discovery. Protected expression, confidential information, patents, contractual rights and other legal rights remain subject to their own rules.
These Terms do not transfer ownership of a paid project's source code, designs, architecture documents, configurations, data or other deliverables. Every Project Agreement will identify:
- the deliverables created specifically for that client;
- when, and to what extent, rights in those deliverables transfer or are licensed, and any payment condition on that;
- RLAutomations's pre-existing code, reusable components, methods, templates and know-how, and the license the client receives to use them in the project;
- open-source and other third-party materials, and their licenses; and
- any confidentiality or exclusivity obligation agreed for that project.
Unless a Project Agreement expressly grants exclusivity, RLAutomations remains free to use its general skills, experience, know-how, independently developed work and reusable materials on other projects. We will never give one client's confidential materials or client-specific deliverables to another client in breach of an agreement or the law.
You may not use the RLAutomations or Blueprint names or marks to suggest our endorsement. If you believe material on the Website infringes your rights, email ryanllonora@rlautomations.com with enough detail for us to find and review it.
10. Feedback
If you suggest improvements to the Website itself, we may use those suggestions without payment or any obligation to implement them. This doesn't transfer ownership of Your Materials, allow us to use a client's confidential information on other projects, or override section 3.
11. Privacy
Our Privacy Policy explains how we collect and handle personal information. Please read it before submitting personal information, files, or information about other people.
12. Third-Party Services And Links
The Website relies on third-party providers for hosting, storage, email and AI (listed in our Privacy Policy), and may link to other websites or use third-party tools for video calls. A third party's own terms and privacy notice apply when you use its service. We aren't responsible for outside content or services we don't control, except where the law doesn't allow us to exclude that responsibility.
13. Availability And Changes To The Website
We aim to keep the Website useful and available, but we may change, pause or stop a feature for maintenance, security, legal or business reasons. We don't promise uninterrupted access. We may correct mistakes in Website content, including descriptions, examples or ranges. If a change affects a signed Project Agreement, that agreement's change process applies.
14. No Professional Advice Or Guaranteed Outcome
Website content, examples and discovery suggestions are general information. They are not legal, tax, accounting, financial or other regulated professional advice; get appropriate professional advice for decisions that need it.
We may discuss the expected benefits of a proposed product, but results depend on many factors outside the Website. Unless a signed Project Agreement says so, we don't guarantee that an idea is feasible, will be adopted by users, will generate revenue, or can be delivered at a particular cost or date.
15. Disclaimers
To the extent the law allows, the Website and its free discovery features are provided “as is” and “as available”. We don't give a general warranty that the Website will always be available, error-free, or suited to every purpose, or that any outline or range will be accurate or complete. This doesn't remove any warranty, remedy or consumer right that cannot lawfully be excluded. Warranties for paid work are stated in the Project Agreement.
16. Limits Of Liability
Each party remains responsible for its own unlawful conduct and for obligations it expressly accepts. To the extent the law allows, neither party is liable under these Terms for indirect or consequential losses arising only from use of the free Website, such as lost profits, revenue, data or opportunities. Our total liability for any claim arising solely from the free Website is limited to ₱5,000.
Nothing in these Terms limits liability that cannot be limited under Philippine law, including for fraud, gross negligence or willful misconduct. A Project Agreement may set different liability terms for paid work.
17. Responsibility For Misuse
To the extent the law allows, you agree to reimburse us for reasonable losses, costs or third-party claims caused by your material breach of section 3 or section 7, including knowingly submitting material you had no right to share. We will give you reasonable notice of any such claim and a fair chance to take part in its defense. This doesn't make you responsible for losses caused by our own conduct.
18. Governing Law And Disputes
These Terms are governed by the laws of the Republic of the Philippines, without overriding any mandatory rights you have under another law.
If a dispute arises from the Website, please email ryanllonora@rlautomations.com first. We'll try in good faith to settle it together within 30 days of written notice. If that fails, the courts of Taguig City, Metro Manila will have jurisdiction, subject to any mandatory venue or consumer-protection rule that applies. These Terms do not require arbitration.
19. Changes To These Terms
We may update these Terms to reflect changes in the Website, our practices or the law. We'll post the revised Terms here with a new “Last Updated” date, and tell clients with active projects about material changes. Changes apply from their stated effective date and do not change a signed Project Agreement.
20. General Provisions
If any part of these Terms is found unenforceable, the rest continues to apply. A delay in enforcing a provision doesn't waive it. You may not transfer your rights or obligations under these Terms without our consent, except where the law allows. Headings are for readability and don't change the meaning.
